The Board of Directors of Maybank wishes to announce that pursuant to a Scheme of Arrangement under Section 366 of the Companies Act, 2016, a total of 462,447,751 new ordinary shares in Vantris Energy and 498,478,572 redeemable convertible unsecured Islamic debt securities in Vantris Energy have been issued to Maybank and Maybank Islamic Berhad (“MIB”), a wholly-owned subsidiary of Maybank, as part of the settlement terms of certain outstanding liabilities owing by Sapura TMC Sdn Bhd, a wholly-owned subsidiary of Vantris Energy.

As at 26 September 2025, Maybank’s direct and indirect (through MIB) shareholdings in Vantris Energy are as follows:

Accordingly, Maybank is deemed to be a substantial shareholder of Vantris Energy pursuant to Section 136 of the Companies Act, 2016.
