The Board of Directors of Maybank wishes to announce that pursuant to a Scheme of Arrangement under Section 366 of the Companies Act, 2016 (the “Scheme”), a total of 85,379,266 new ordinary shares in AMRB (“Settlement Shares”) have been issued to Maybank and Maybank Islamic Berhad (“MIB”) on 29 August 2025 at an issue price of RM0.2783 each together with 21,344,825 free detachable warrants in AMRB  (“Settlement Warrants”) on the basis of one (1) Settlement Warrant for every four (4) Settlement Shares as part of the settlement terms of the  liabilities owing by AMRB and Alam Maritim (M) Sdn Bhd, a wholly-owned subsidiary of AMRB, to Maybank and MIB.

As at 29 August 2025, Maybank’s direct and indirect shareholdings (through MIB, a wholly-owned subsidiary of Maybank) in AMRB are as follows:

Accordingly, Maybank is deemed to be a substantial shareholder of AMRB pursuant to Section 136 of the Companies Act, 2016.
