Malayan Banking Berhad ("Maybank") wishes to announce that PT Kim Eng Asset Management (“PTKEAM” or the “Company”), an indirect subsidiary of Maybank, had convened an Extraordinary General Meeting of Shareholders on 26 October 2016 at which it was resolved that PTKEAM be wound-up voluntarily.

PTKEAM is a subsidiary of Maybank KE Strategic Pte. Ltd. which is wholly owned by Maybank Kim Eng Holdings Limited (“MKEH”). MKEH is a wholly owned subsidiary of Maybank IB Holdings Sdn Bhd which is a wholly owned subsidiary of Maybank.

PTKEAM was established as an asset management company on 20 June 2008 and has subsequently remained dormant since 2009 due to its failure to obtain license from the Indonesian Financial Authority/Otoritas Jasa Keuangan to operate as an asset management company.

The liquidation of PTKEAM is part of MKEH’s corporate rationalization exercise.

Pursuant to Articles 152(3) and (7) of the Limited Liability Companies Law announced in “The Jakarta Post” newspaper on the liquidation process, the Notary, on behalf of PTKEAM, had on 25 November 2016 submitted the announcement together with the deed to the Ministry of Law and Human Rights (“MOLHR”) for approval. The reply from MOLHR was received on 16 December 2016 notifying that PTKEAM has been dissolved effective 6 December 2016.

The dissolution of PTKEAM will not have any material effect on the consolidated earnings or net assets of Maybank for the financial year ending 31 December 2016.

None of the directors and/or major shareholders of Maybank and/or persons connected to them has any interest, direct or indirect, in the voluntary liquidation.
