On behalf of Malayan Banking Berhad (“Maybank”), Maybank Investment Bank Berhad (“Maybank IB”) is pleased to announce that on 14 December 2016, Maybank successfully established a sukuk programme (“Sukuk Programme”) under which Maybank may issue and have outstanding at any time senior sukuk (“Senior Sukuk Murabahah”) and/or subordinated sukuk (“Subordinated Sukuk Murabahah”) of up to RM10.0 billion in nominal value under the Shariah principle of Murabahah (via Tawarruq arrangement).

Maybank IB, on behalf of Maybank, had on 22 November 2016 lodged with Securities Commission Malaysia (“SC”) all required information and relevant documents relating to the Sukuk Programme pursuant to the SC’s Guidelines on Unlisted Capital Market Products under the Lodge and Launch Framework revised and effective on 15 June 2015. The Sukuk Programme will give Maybank the flexibility to raise funds via the issuance of Senior Sukuk Murabahah and/or Subordinated Sukuk Murabahah from time to time which can be utilised, amongst others, to fund Maybank’s investments in Ringgit-denominated and foreign currency-denominated Islamic financial instruments approved by Bank Negara Malaysia’s (“BNM”) Shariah Advisory Council or the SC’s Shariah Advisory Council, to fund the Islamic business activities of Maybank’s subsidiaries and overseas branches, and any other Shariah-compliant business activities of Maybank.

The Sukuk Programme has been assigned a long term rating of AAA for issuances of Senior Sukuk Murabahah and AA1 for issuances of Subordinated Sukuk Murabahah, by RAM Rating Services Berhad.

Issuances of Subordinated Sukuk Murabahah under the Sukuk Programme will qualify as Tier 2 capital of Maybank subject to compliance with the requirements as specified in BNM’s Capital Adequacy Framework (Capital Components) issued on 13 October 2015. Approval from BNM was obtained on 28 June 2016 (upon terms and conditions therein contained).

Maybank IB is the Principal Adviser, Lead Arranger, Lead Manager and Bookrunner for the Sukuk Programme, and Maybank Islamic Berhad is the Shariah Adviser for the Sukuk Programme.
