On behalf of the Board of Directors of Maybank, Maybank Investment Bank Berhad wishes to announce that Kim Eng, a subsidiary of Mayban IB Holdings, which in turn is a wholly-owned subsidiary of Maybank, had on 29 June 2011 entered into a conditional sale and purchase agreement (“CSPA”) with ATR Holdings, Inc. (“ATRH”) in relation to the sale by ATRH, and the purchase by Kim Eng, of 344,427,134 issued common shares in ATR KE, representing approximately 32.24% of the total number of issued common shares of ATR KE (“ATR KE Shares”).

The execution of the CSPA will trigger an obligation by Kim Eng to undertake a mandatory tender offer for the ATR KE Shares other than those already owned, controlled or agreed to be acquired by Kim Eng (“MTO”).

The Proposed Acquisition and the MTO are collectively known as the “Proposed Transaction”.
